Terms and Conditions

1. Definitions and Scope

These Terms and Conditions ("Terms") govern the use of the StrateCo platform ("Service"), provided by Agentic Applications S.r.l., an innovative startup under Italian Law D.L. 179/2012, with registered office in Italy, VAT and Tax Code: 04346821202 ("Company", "we").

By accessing or using the Service, the user ("you", "User") fully accepts these Terms. If you do not accept these Terms, please do not use the Service.

2. Description of the Service

StrateCo is an AI-powered marketing intelligence platform that provides:

• Virtual consultants specialized in various marketing areas
• Personalized analysis and strategies for your business
• Content and marketing plan generation
• Data-driven decision support based on industry best practices

3. Registration and Account

To use the Service, you must create an account providing truthful and complete information. The User is responsible for:

• Maintaining the confidentiality of login credentials
• All activities that occur through their account
• Immediately notifying any unauthorized use of the account

We reserve the right to suspend or terminate accounts that violate these Terms.

4. Plans and Payments

The Service is offered in various pricing plans as described on the Pricing page. Payments are processed through secure third-party providers (Stripe). The User agrees to:

• Provide valid and up-to-date payment information
• Authorize recurring charges for subscriptions
• Be responsible for any applicable taxes

Prices may be changed with 30 days notice. Changes do not apply to the current billing period.

5. Right of Withdrawal and Refunds

For digital services, the right of withdrawal is excluded once the service has been activated with the express consent of the User, pursuant to art. 59 of the Italian Consumer Code.

We offer a 14-day satisfaction guarantee from activation: if you are not satisfied, contact us to request a full refund.

6. Intellectual Property

StrateCo® is a registered trademark of Agentic Applications S.r.l. All content, software, design, texts, graphics and other materials on the Service are the exclusive property of the Company or its licensors.

The User retains ownership of their data and content uploaded to the platform. However, they grant the Company a limited license to use such content solely for the purpose of providing the Service.

7. Permitted Use

The User agrees not to:

• Use the Service for illegal or unauthorized purposes
• Attempt to access unauthorized systems or data
• Interfere with the operation of the Service
• Resell or redistribute the Service without authorization
• Use automated systems to access the Service in bulk
• Violate third-party intellectual property rights

7bis. Third-party platform integrations

The Service allows the User to connect third-party platform accounts (including Google, Meta, LinkedIn and others) via OAuth 2.0 protocol. By connecting a third-party account, the User:

• Authorizes StrateCo to access data from their account on the connected platform, within the limits of the permissions granted
• Acknowledges that data access and use are also governed by the third-party platform's terms of service
• May revoke access at any time through project settings or directly from the third-party platform
• Remains responsible for complying with the third-party platform's terms of use regarding data that StrateCo accesses on their behalf

The Company is not responsible for any changes, limitations or interruptions of third-party platform services that may affect StrateCo's functionality.

8. Limitation of Liability

The Service is provided "as is" and "as available". The Company does not guarantee that the Service will be uninterrupted, secure or error-free.

The advice and strategies provided by virtual consultants are generated by artificial intelligence systems and are purely indicative. The User is responsible for business decisions based on such suggestions.

In no event shall the Company be liable for indirect, incidental, special or consequential damages arising from the use of the Service, to the maximum extent permitted by applicable law.

9. Service Availability

We are committed to ensuring maximum Service availability. However, interruptions may occur due to scheduled maintenance or force majeure. We will notify scheduled maintenance in advance when possible.

10. Termination

The User may cancel their account at any time from profile settings. The Company may suspend or terminate access to the Service in case of violation of these Terms.

Upon termination, User data will be deleted within 30 days, unless legal obligations require its retention.

11. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be communicated via email or platform notification with at least 30 days notice. Continued use of the Service after such period constitutes acceptance of the new Terms.

12. Applicable Law and Jurisdiction

These Terms are governed by Italian law. For any dispute arising from the interpretation or execution of these Terms, the Court of Bologna shall have exclusive jurisdiction.

For consumers residing in the EU, the right to bring proceedings before the court of their place of residence and to use the European Commission's ODR platform (https://ec.europa.eu/consumers/odr) is preserved.
